Overview

Welcome to the Chef Ceber Wholesale Program. By applying for and purchasing through a wholesale or business account, you agree to the following terms and conditions ("Wholesale Agreement"). These terms apply in addition to our Terms of Service, Privacy Policy, Shipping Policy, and Return & Refund Policy. Agreement Acceptance By creating or using a wholesale account, you acknowledge that you have read, understood, and agree to these terms.

Eligibility & Approval

Wholesale Access Requirements Wholesale access is open only to verified businesses such as: • Cafes • Bakeries • Restaurants • Distributors Approval Rights Chef Ceber reserves the right to approve, deny, or revoke wholesale access at any time. All wholesale accounts are subject to verification and approval.

Minimum Orders

Initial Order Minimum Value: 500 CAD or Minimum Weight: 40 kg Reorders Minimum Value: 300 CAD (for returning customers) Pallet & Container Pricing Larger pallet or container pricing is available upon request. Contact our wholesale team for volume pricing.

Pricing & Payment

Pricing Structure • Prices are in CAD excluding taxes, shipping, and customs duties • All applicable taxes, customs duties, and freight charges are the buyer's responsibility Payment Requirements Full payment is required before fulfillment unless credit terms are approved. Extended Terms Net-15 or Net-30 terms are offered only to approved businesses with verified credit. Late Payments Overdue invoices are subject to 2% monthly interest (24% APR).

Shipping & Delivery

F.O.B. Vaughan, Ontario Orders ship Free on Board (FOB) from Vaughan, Ontario. This means: • Liability transfers to the buyer when goods are picked up by the carrier • Risk of loss shifts to the buyer at that point • Freight and delivery charges are separate from product pricing Custom Delivery Options • Temperature-controlled freight available • Pallet delivery options for bulk orders See our full Shipping Policy for detailed shipping terms.

Returns & Damages

Return Eligibility Returns are accepted only if products are damaged or incorrect. 48-Hour Reporting Window Claims must be reported within 48 hours of delivery with clear photo evidence. See our Return & Refund Policy for full instructions or contact our wholesale team.

Use of Brand Assets

Brand Protection Requirements • No modification or rebranding of Chef Ceber products without written permission • All marketing materials must accurately represent Chef Ceber as a premium brand Marketing Guidelines All promotions and displays must respect the brand's handcrafted and luxury positioning.

Confidentiality

Confidential Information Protection All wholesale pricing, account information, and correspondence is confidential and must not be shared. • Discount tiers and wholesale prices • Custom agreements or terms • Email communications and purchase history Breach Consequences Unauthorized disclosure may result in account termination and legal action.

Termination

Account Termination Rights Chef Ceber has the right to suspend or terminate wholesale access at any time. Immediate Effect Upon termination, all outstanding invoices become due immediately. Termination Reasons • Breach of confidentiality • Unpaid invoices • Misuse of brand assets • Failure to meet order minimums

Limitation of Liability

Liability Limitations • Chef Ceber is not liable for indirect losses or consequential damages • Maximum liability is limited to the value of the affected order

Governing Law

This agreement is governed by the laws of Ontario and Canada. All disputes will be resolved under Ontario and Canadian jurisdiction.
